1. Agreement to Terms

By accessing or using DataEncode.io services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

2. Description of Services

DataEncode.io provides comprehensive data processing, analytics, and engineering services including:

  • Data analytics and business intelligence solutions
  • Analytics engineering and dbt implementation
  • Data engineering and ETL/ELT pipeline development
  • Cloud data warehousing setup and optimization
  • Cost optimization and performance tuning
  • Data profiling and quality assessment
  • Real-time and batch data synchronization
  • Custom data solutions and integrations
  • Data management and governance consulting

3. User Accounts and Responsibilities

3.1 Account Creation

You may need to create an account to access certain services. You are responsible for:

  • Providing accurate and complete information
  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

3.2 Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws or regulations
  • Process illegal, harmful, or malicious data
  • Attempt to gain unauthorized access to systems
  • Interfere with or disrupt our services
  • Reverse engineer or attempt to extract source code
  • Use services for competitive intelligence against us

4. Data Processing and Privacy

4.1 Customer Data

You retain all ownership rights to your data. We process your data solely to provide services as outlined in our service agreements and Privacy Policy.

4.2 Data Protection

We implement industry-standard security measures including:

  • Encryption in transit and at rest
  • Access controls and authentication
  • Regular security audits and monitoring
  • Compliance with GDPR, HIPAA, and other regulations

4.3 Data Location and Transfers

Your data may be processed in various jurisdictions. We ensure appropriate safeguards are in place for international data transfers.

5. Service Level Agreements

5.1 Availability

We strive to maintain 99.9% uptime for our core services, excluding scheduled maintenance windows.

5.2 Support

We provide 24/7 technical support for production issues. Support response times vary based on service tier:

  • Critical: 1 hour response time
  • High: 4 hours response time
  • Medium: 12 hours response time
  • Low: 48 hours response time

5.3 Maintenance

Scheduled maintenance will be communicated at least 48 hours in advance except for emergency security updates.

6. Payment Terms

6.1 Fees and Billing

Service fees are outlined in your specific service agreement. Payment terms include:

  • Invoices are due within 30 days of receipt
  • Late payments may incur interest charges
  • Services may be suspended for non-payment
  • All fees are non-refundable unless otherwise specified

6.2 Price Changes

We may modify pricing with 30 days' written notice. Price changes don't affect existing contracted terms.

7. Intellectual Property

7.1 Our IP

DataEncode.io retains all rights to our proprietary technology, methodologies, and intellectual property.

7.2 Your IP

You retain ownership of your data and intellectual property. You grant us a limited license to process your data as necessary to provide services.

7.3 Derived Insights

Anonymized, aggregated insights derived from service delivery may be used for service improvement, with no personally identifiable information disclosed.

8. Warranties and Disclaimers

8.1 Service Warranties

We warrant that our services will be performed with professional skill and care in accordance with industry standards.

8.2 Disclaimers

Except as expressly stated, services are provided "as is" without warranties of any kind. We disclaim all implied warranties including merchantability and fitness for a particular purpose.

8.3 Third-Party Services

We may use third-party services (cloud providers, software tools) and cannot warrant their performance or availability.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability is limited to the fees paid in the 12 months preceding the claim
  • We are not liable for indirect, incidental, or consequential damages
  • We are not liable for data loss if you haven't maintained backups
  • Force majeure events exempt us from liability

10. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

  • Your use of our services
  • Your violation of these terms
  • Your violation of applicable laws
  • Infringement claims related to your data or content

11. Termination

11.1 Termination by You

You may terminate services with 30 days' written notice, subject to contractual obligations.

11.2 Termination by Us

We may terminate services immediately for material breach or with 30 days' notice for convenience.

11.3 Data Retention

Upon termination, we will return or delete your data within 90 days unless legally required to retain it longer.

12. Dispute Resolution

12.1 Governing Law

These terms are governed by the laws of France, without regard to conflict of law principles.

12.2 Dispute Resolution Process

Disputes will be resolved through:

  1. Direct Negotiation: Good faith discussions for 30 days
  2. Mediation: Non-binding mediation if negotiation fails
  3. Arbitration: Binding arbitration under ICC rules if mediation fails

12.3 Jurisdiction

Any legal proceedings will be conducted in French courts, and you consent to their jurisdiction.

13. Changes to Terms

We may modify these terms at any time. Significant changes will be communicated via:

  • Email notification to account holders
  • Prominent website notices
  • In-service notifications

Continued use after changes constitutes acceptance of modified terms.

14. Miscellaneous

14.1 Entire Agreement

These terms, together with your service agreement and Privacy Policy, constitute the entire agreement between us.

14.2 Severability

If any provision is found unenforceable, the remainder of these terms will remain in effect.

14.3 Assignment

You may not assign these terms without our written consent. We may assign our rights and obligations.

14.4 Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control.
